These Terms of Service ("Terms") govern your access to and use of The Architect Store's website, products, and services. By purchasing or using our products and services, you agree to these Terms in full.

1. UCC Article 2 Warranty Disclaimer

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE ARCHITECT STORE EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • The implied warranty of merchantability under UCC § 2-314;
  • The implied warranty of fitness for a particular purpose under UCC § 2-315;
  • Any warranty arising from course of dealing, usage of trade, or course of performance.

All products and services are sold "AS IS" and "AS AVAILABLE." You assume all risk as to the quality, performance, and suitability of any product or service purchased.

2. Limitation of Consequential Damages (UCC § 2-719)

IN NO EVENT SHALL THE ARCHITECT STORE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ARCHITECT STORE'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR PRODUCTS OR SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO THE ARCHITECT STORE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

3. Return and Refund Limitation Window

All claims for damaged, defective, or incorrect products must be submitted within seven (7) days of delivery. No refund or exchange requests will be honored outside this window. All digital product sales are final upon delivery of access.

4. Indemnification & Hold-Harmless

You agree to defend, indemnify, and hold harmless The Architect Store and its members, managers, officers, employees, agents, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of our products, services, or digital content;
  • Your violation of these Terms;
  • Any third-party claim arising from your actions or omissions in connection with our products or services;
  • Your infringement of any intellectual property or other right of any person or entity.

This indemnification obligation shall survive termination of these Terms.

5. Dispute Resolution – Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute, claim, or controversy arising out of or relating to these Terms, or the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable, rather than in a court of law.

The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: YOU AND THE ARCHITECT STORE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

Notwithstanding the foregoing, either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

6. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.
