Indemnification & Hold-Harmless Policy

This Indemnification & Hold-Harmless Policy ("Policy") applies to all customers, clients, users, and visitors ("You") who purchase, access, or use any product, service, digital content, or educational material offered by The Architect Store.

1. Your Indemnification Obligations

You agree to defend, indemnify, and hold harmless The Architect Store and its members, managers, officers, employees, contractors, agents, successors, and assigns (collectively, "Indemnified Parties") from and against any and all third-party claims, actions, demands, proceedings, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

  • Your purchase, use, or misuse of any product, service, digital content, or educational material offered by The Architect Store;
  • Your violation of any applicable law, regulation, or third-party right;
  • Your breach of any agreement, policy, or terms governing your relationship with The Architect Store;
  • Any representation, advice, or action you take based on content or materials obtained from The Architect Store;
  • Any claim by a third party arising from your use or dissemination of our products, frameworks, assessments, or educational content.

2. Mutual Hold-Harmless

The Architect Store agrees to hold you harmless from claims directly caused by our gross negligence or willful misconduct, subject to the limitation of liability caps set forth in the applicable Terms of Service or Consulting Agreement.

3. Indemnification Procedure

Upon becoming aware of any claim subject to indemnification, the Indemnified Party shall:

  • Promptly notify You in writing of the claim;
  • Grant You reasonable control over the defense and settlement of the claim (provided You do not settle any claim that imposes liability or obligation on the Indemnified Parties without prior written consent);
  • Provide reasonable cooperation and assistance in the defense.

4. Survival

Your indemnification obligations under this Policy shall survive termination or expiration of any agreement between you and The Architect Store and shall remain in full force and effect regardless of the reason for termination.

5. Governing Law

This Policy is governed by the laws of the State of Florida. Any disputes arising hereunder shall be resolved exclusively in the courts of Alachua County, Florida.
